Mail-order business registration (통신판매업 신고): in progress
These Terms govern your use of the paid services we provide for Trina Drive (“Services”) and of the website https://drive.trina.app. By starting a trial, placing an order, or using the Services, you agree to these Terms on behalf of the organization you represent (“Customer”, “you”). If you do not have authority to bind that organization, do not use the Services.
1. What is free and what is paid
1.1 Trina Drive software. Trina Drive is open-source software. The server is licensed under the GNU Affero General Public License v3.0 and the CLI, SDKs and integration examples under the Apache License 2.0, as stated in the source repository. Your use of the software itself is governed by those licenses, not by these Terms. Self-hosting Trina Drive is free, with no limits on users, files, storage or connections.
1.2 Paid Services. We charge for running Trina Drive for you and for helping you set it up:
- Managed plans (Team, Business): we remotely install, monitor, update, back up and secure a Trina Drive server on hardware you own and keep in your premises (for example, an office Mac mini), plus email support. Plan limits (such as the number of AI-connected people) and response times are shown on our pricing page at the time of your order.
- Setup & migration: one-time professional services such as folder and permission design, NAS / Mac mini setup and connection training, as described in a quote or order form.
1.3 Your data stays on your hardware. In the managed plans your files, permissions database and audit log are stored on your hardware, not on our servers. We do not sell, mine or use your content to train AI models.
2. Accounts and eligibility
The Services are intended for businesses and other organizations, not for personal or household use. You must give accurate company and contact details and keep them current. You are responsible for the people you authorize to use your Trina Drive server and for keeping credentials and access tokens secure.
3. Free trial
Team plans may include a 14-day free trial starting after a setup call. If you entered a payment method, your subscription starts automatically when the trial ends unless you cancel before then. If you cancel during the trial you will not be charged. We may limit trials to one per organization.
4. Managed Services — what we do and what you do
4.1 We will: (a) install Trina Drive on the agreed hardware; (b) apply updates and security fixes within a reasonable time after release (security fixes as a priority); (c) monitor availability and respond to alerts during our business hours; (d) configure and check backups to the destination you provide; (e) respond to support requests within the target response time of your plan (Team: next business day; Business: 4 business hours; business days are Korean business days, 09:00–18:00 KST, unless stated otherwise in your order).
4.2 You will: (a) provide and maintain the hardware, power, network and any backup destination; (b) give us the remote access we need and keep it enabled (we use Tailscale, with access limited to named Trina staff); (c) tell us promptly about changes that affect the server (network, NAS, staff leaving); (d) use AI clients in line with their providers’ terms.
4.3 AI providers. When you connect an AI client (for example Claude Code, Codex, Cursor, claude.ai or ChatGPT), the content that the AI agent reads is sent to that AI provider under your agreement with them. Trina Drive controls which files an agent can reach and records what it did; it cannot control what the AI provider does with content once sent. Mark folders that must never reach an AI provider as “no AI access”.
4.4 Our access to your server. Operating a server means our operators can technically access its disk. We access your server only to provide the Services, to respond to your requests, or to address a security incident, and we keep a record of operator access. Our staff are bound by confidentiality obligations. Where we process personal data on your behalf, we act as your processor under the Data Processing terms in §11.
4.5 No uptime guarantee. Because the server runs on your hardware and network, we do not guarantee a specific uptime unless a separate signed agreement says so. Service credits apply only where a signed agreement provides them.
5. Setup & migration services
Scope, price and schedule are set in the quote or order. We perform the work with reasonable skill and care. Unless the quote says otherwise, the work is complete when the agreed items are installed and handed over, or 5 business days after handover if you have not reported a material defect.
6. Acceptable use
You must not use the Services to: break the law; infringe others’ rights; store or distribute malware or illegal content; attempt to access systems or data you are not authorized to access; or resell the managed Services without our written consent. We may suspend the Services, after notice where practicable, if your use creates a security risk or legal exposure for us or others.
7. Prices, payment and taxes
7.1 Online orders (USD). Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our online orders. Paddle provides all customer service inquiries and handles returns. When you buy through the online checkout you also agree to Paddle’s Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms). Paddle calculates and collects applicable sales tax, VAT or GST and issues your invoices and receipts. You can enter your tax ID at checkout. Setup & migration services sold under a separate quote may instead be invoiced directly by Trina Inc. and paid by international bank transfer, as stated in the quote.
7.2 Customers in Korea. Customers in the Republic of Korea use the same online checkout (Paddle.com) and are charged in US dollars; the card must allow international payments. Paddle calculates and collects any applicable tax. Setup services contracted directly by quote are invoiced by Trina Inc. in KRW with an electronic tax invoice (전자세금계산서).
7.3 Billing. Subscriptions are billed in advance, monthly or annually, and renew automatically for the same period until cancelled. Additional AI-connected people are billed per person per billing period; when you add people mid-period, the charge is prorated. Prices may change on renewal with at least 30 days’ notice by email.
7.4 Late or failed payment. If a renewal payment fails, the Merchant of Record (or we, for direct invoices) will retry and notify you. If payment is still outstanding 14 days after the due date we may suspend the managed Services after notice. Suspension stops our operation of the server; it never locks you out of your own server or data.
8. Cancellation, refunds and plan changes
You can cancel at any time. Cancellation takes effect at the end of the current billing period, and the managed Services continue until then. Refunds are described in our Refund Policy at https://drive.trina.app/refund, which forms part of these Terms. You can upgrade, downgrade or change the number of AI-connected people at any time; changes are prorated as shown at checkout or on your invoice.
9. When the Services end
When a subscription ends for any reason, we will (a) stop operating the server, (b) remove our remote access and operator credentials within 10 business days, and (c) on request made within 30 days, give you reasonable help to take over operation yourself. Your server, files and logs remain on your hardware, and the open-source software keeps working under its license.
10. Confidentiality
Each party will keep the other’s non-public information confidential, use it only to perform or receive the Services, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or that must be disclosed by law (with prompt notice where lawful).
11. Data processing
11.1 For personal data contained in your files or logs that we may access while operating your server, you are the controller and we are the processor. We will: process it only on your documented instructions (these Terms and your support requests); keep it confidential; apply appropriate technical and organizational security measures; not engage another processor to access your server without your prior consent; help you respond to data-subject requests and security incidents; notify you without undue delay, and in any case within 72 hours, after becoming aware of a personal-data breach affecting your server; and stop processing and remove our access when the Services end.
11.2 Personal data about you as our customer (contact and billing details) is handled under our Privacy Policy at https://drive.trina.app/privacy.
11.3 If you need a signed data processing agreement (for example for GDPR), contact contact@trina.app.
12. Intellectual property and feedback
The open-source code is licensed as stated in §1.1. Our trademarks (including “Trina” and “Trina Drive”) are not licensed except as allowed in our trademark policy. You keep all rights in your content. If you send us suggestions, we may use them without obligation to you.
13. Warranties and disclaimers
We will perform the Services with reasonable skill and care. Except as expressly stated in these Terms, the Services and the software are provided “as is”, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law. We are not responsible for the hardware, network, NAS, backup destination or AI providers you choose.
14. Limitation of liability
To the extent permitted by law: (a) neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if advised of their possibility; (b) each party’s total liability arising out of these Terms is limited to the amounts paid or payable by you for the Services in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law, to your payment obligations, or to breach of confidentiality caused by intentional misconduct.
15. Indemnity
You will defend and indemnify us against third-party claims arising from your content or your breach of §6. We will defend and indemnify you against third-party claims that our Services, as provided by us, infringe that third party’s intellectual property rights, excluding the open-source software itself.
16. Changes to these Terms
We may update these Terms. We will post the new version on this page with a new effective date and, for material changes, notify active customers by email at least 30 days before they take effect. If you do not agree, you may cancel before the change takes effect and receive a prorated refund of prepaid fees for the remaining period.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws rules. The parties will first try to resolve any dispute in good faith by email.
17.1 Customers in Korea. Disputes are subject to the jurisdiction of the Daegu District Court Gyeongju Branch (대구지방법원 경주지원) as the court of first instance.
17.2 Customers outside Korea. These Terms are also governed by the laws of the Republic of Korea, and the Daegu District Court Gyeongju Branch has jurisdiction as the court of first instance, unless the consumer protection law that applies to you requires otherwise.
17.3 Either party may seek urgent injunctive relief in any competent court.
18. General
These Terms, the Refund Policy, the Privacy Policy and any order form or quote are the entire agreement between us about the Services; if they conflict, the order form prevails, then these Terms. Neither party may assign these Terms without the other’s consent, except to a successor of its business. Neither party is liable for delays caused by events beyond its reasonable control. If a provision is unenforceable, the rest remains in effect. Notices to us: contact@trina.app.
